If you manage an investment adviser firm registered (or are planning to register one) with the U.S. Securities and Exchange Commission (“SEC”), a U.S. federal government shutdown has serious operational ramifications. While your investment adviser firm’s compliance obligations don’t pause, many SEC functions will.
Here’s what to expect — and what you can do based upon the SEC’s Operations Plan Under a Lapse in Appropriations and Government Shutdown (08/07/2025):
What Still Works (Mostly):
- The IARD/ADV portal is expected to remain online (contract-operated) and will accept new registrations, amendments, and payments (so long as contractor support continues).
- Filers will likely still be able to submit Form 13F since EDGAR is also run by a contracted vendor.
- In truly emergent cases (threats to life or property), very limited SEC activity may continue.
What Won’t Be Working:
- No staff review, comment, or approval of new adviser registrations or ADV amendments during the shutdown.
- No new examinations, enforcement actions, or compliance sweeps (beyond emergency matters). During a Government Shutdown, SEC Investment Adviser functions such as reviews and approvals will be on hold.
- No staff interpretive guidance, no-action letters, or relief programs (except possible in constrained emergency cases).
- No acceleration of filings or granting of relief on timing matters (e.g., effectiveness accelerations).
Important Nuances & Risks:
- Just because a system accepts your payment or registration doesn’t mean it is approved. That step is suspended.
- Deadline rules continue to apply (days in shutdown often still count): you can’t just wait for the staff to resume.
- Once operations resume, priority processing and backlog will matter: first in the queue is a real advantage.
- Be ready for catch-up demands: the SEC may require supplementary filings or amendments once staff is back.
- Maintain rigorous documentation now: record everything, validate disclosures, and ensure compliance.
What You Can & Should Do Now
- Submit your ADV amendments, new registrations, or renewal filings as early as possible. You want to be at the front of the queue when SEC re-opens. In cases of a Government Shutdown, SEC Investment Adviser firms benefit from early submissions.
- If you’re mid-examination, continue to gather requested documents and make timely submissions if system allows.
- Monitor official SEC communications.
- Stay disciplined on your internal controls and compliance framework.
Bottom Line:
The U.S. federal government shutdown may slow or suspend SEC staff activity, but it does not relieve your compliance responsibilities as an investment adviser firm federally registered with the SEC. Filing early now may earn you queue priority when services are restored.
